Part III – Essay Questions (10 Points Each Question)

Essay Question One – An Analysis of Copyright Issues
Part A:  Apple Computer has hired you as an independent contractor to write an iPhone application, which is an application which simulates the act of drinking.  While you are working on this project, you come up with another great idea for a new iPhone application, called iGame, which contains strategy guides EverQuest and World of Warcraft.  You use your home computer to write the source code for the computer program for iGame, but you use one of Apple’s computers during your lunch hour to write the strategy guides.  
Please explain who owns the copyright in (1) the source code for iGame and (2) the strategy guide under the work-for-hire doctrine, and give the reasons why.  There is no right or wrong answer; only great or mediocre arguments.
 
 

 
 
Part B:  Apple loves iGame and would like to buy your software and the strategy guides.  The contract they send you is entitled “Purchase Agreement” and provides that Apple is buying iGame and the strategy guides.  
Please write two or three sentences explaining the impact this would have on whether you could sell or license iGame and your strategy guide to others under the first sale/exhaustion doctrine.
 

 
Essay Question Two:  Pre-contractual Duties
Your client, Jean Luc Picard, is the new owner of an Internet café in Paris, and he wants to enter into a contract with your IT company for the purchase and installation of computers, monitors, keyboards, routers, and software.  The owner tells you that he has a limited budget and only wants his customers to be able to “surf the Internet” at specific workstations, he scribbles some notes on a napkin, and then tells you that he is leaving on vacation and won’t be back until after you install the computers.  There is a new product, called a MicroCompie, that is soon to be released, which would be perfect, but you don’t tell him about it.  Also, your competitor sells products that are better and cheaper than your company’s products.  After the installation, an attorney for the café owner writes you a letter, saying that you have breached your pre-contractual duties to the owner of the Internet café because there is no Wi-Fi access for customers with laptops, the computers are not powerful enough for computer gaming, you failed to tell him about the MicroCompie, and that you failed to tell him about your competitor’s products.
Write a letter to Mr. Picard discussing (1) how and why you have met all of your pre-contractual duties under French law (mention them by name, please), and (2) why he too may have violated a pre-contractual duty that he owed to you.  Include in your discussion the level of duty that a French court would likely say that you owe to the café owner.
 

 
 
 
 
 
 
Essay Question Three:  Contractual Performance
Part A:  Your company promises to install 200 computers at a law firm in Paris by Friday, March 19, 2010, and to provide the maintenance for these computers for one year.  The price for the computers is $250,000, and the monthly maintenance charge is $2,000.  Due to an unexpected labor strike by all IT workers in Paris, which arose suddenly, and without warning, you no longer have the employees to complete the installation by March 12, 2010.  The law firm calls your company and says that if you do not install all of the computers for $200,000 by the following Friday, it will tell all of its clients that you are the worst IT company in Paris.  You don’t want to ruin your reputation with the law firm’s clients, so you agree to sell the computers to the law firm for $200,000.  The law firm pays $200,000 for the computers, but they don’t pay you $2,000 for the first month’s maintenance.  When you tell them that you won’t provide maintenance unless they pay for it, they say they will pay you in thirty (30) days and will sue you if you don’t continue to maintain their computers.  You ignore them and stop providing maintenance.  
Please explain discuss whether you breached your duty to deliver by (1) failing to complete the installation by March 19, 2010 (and what defenses you would have to this claim), (2) whether a court force you to sell the computers to the law firm for $200,000, and (3) whether you would breach your duty to deliver if you don’t continue to provide maintenance (even if they haven’t paid).  Again, no right or wrong answer, only great or mediocre arguments.
